Terms of Use — Salud AI

1) Acceptance of Terms
By downloading, accessing, or using the Service, you agree to these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service.
2) What We Do (and Don’t)
Salud AI provides informational wellness tools: conversational interfaces, logging, summaries, and organizational features for health‑related information. We do not provide medical diagnosis, treatment, or telehealth at this time. For emergencies, call your local emergency number (911 in the US, 112 in India, 199/112 in Nigeria, 115 in Pakistan, 999 in Bangladesh) or visit an emergency department
Any content, outputs, or suggestions from Salud AI (including AI‑generated text) are for informational and educational purposes only and are not medical advice. Always consult a licensed professional for medical questions.
If the Service provides billing/claims guidance (e.g., appeal letter templates), it is informational only and not legal advice. Consider consulting a qualified attorney or patient advocate for legal questions.
3) Eligibility
You must be at least 18 to use the Service (or the age of majority in your jurisdiction). If you’re 13–17, you may use the Service only with a parent/guardian’s consent and supervision. The Service is available in the United States, India, Pakistan, Bangladesh, and Nigeria.
4) Your Account and Security
Keep your credentials confidential and accurate. You’re responsible for all activities under your account. Notify us promptly of unauthorized use.
5) Your Content and License to Us
You retain ownership of content you submit (logs, documents, notes). You grant Salud AI a non‑exclusive, worldwide, royalty‑free license to host, store, process, and display your content solely to provide and improve the Service. You can delete content at any time (subject to legal retention).
You represent you have the rights to upload and share any content you submit.
6) Prohibited Uses
You agree not to:
• Use the Service for medical emergencies or as a substitute for professional medical advice.
• Record any conversation with third parties (e.g., clinicians) without all legally required consents; recording‑law compliance is your responsibility.
• Use geofencing to identify, track, target, or profile persons in or around facilities providing in‑person health care services.
• Reverse engineer, scrape, mine, or misuse the Service or data; introduce malware; attempt unauthorized access.
• Use outputs to create competing models or benchmark contrary to our policies.
• Violate any law or third‑party rights.
We may suspend or terminate accounts for violations.
7) Third‑Party Services and Integrations
You may connect third‑party services (Apple Health, Google Fit, EHR portals). Your use of third‑party services is governed by their terms/policies. We are not responsible for third‑party content or services.
8) Intellectual Property
The Service, including software, models, text, graphics, and designs, is owned by Salud AI or its licensors and protected by IP laws. Except for your content and rights expressly granted, no rights are transferred to you.
9) Feedback
If you provide feedback, you grant Salud AI a perpetual, irrevocable, worldwide, royalty‑free license to use it without restriction or compensation.
10) AI and Content Disclaimers
AI outputs can be inaccurate or incomplete. You are responsible for verifying any information before relying on it. Salud AI makes no warranties that outputs will be accurate, reliable, or suitable for a particular purpose.
11) Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALUD AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALUD AI, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. IN ALL CASES, SALUD AI’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
Some jurisdictions do not allow certain limitations; parts of this section may not apply.
13) Indemnification
You will indemnify and hold harmless Salud AI and its affiliates from any claims, damages, liabilities, and costs (including attorneys’ fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law (including recording‑law violations).
14) Termination
You may stop using the Service at any time. We may suspend or terminate the Service or your access (with or without notice) for any reason, including violations. Upon termination, your rights under these Terms cease, except those that by their nature survive (e.g., IP ownership, disclaimers, limits of liability).
15) App Store Terms
If you downloaded via Apple App Store or Google Play, their terms apply in addition to these Terms. Apple/Google are third‑party beneficiaries of these Terms and may enforce them as applicable.
16) Changes to These Terms
We may modify these Terms. We’ll notify you of material changes (e.g., via in‑app notice or email). Continued use after changes means you accept the new Terms.
17) Governing Law; Arbitration; Class‑Action Waiver
For users in the United States: These Terms are governed by New York law. Disputes will be resolved by binding arbitration (JAMS or AAA consumer rules). YOU AND SALUD AI WAIVE JURY TRIAL AND CLASS ACTION PARTICIPATION.
For users in India: These Terms are governed by the laws of India. Courts located in India will have jurisdiction.
For users in Nigeria: These Terms are governed by the laws of the Federal Republic of Nigeria. Courts located in Nigeria will have jurisdiction.
For users in Pakistan: These Terms are governed by the laws of the Islamic Republic of Pakistan. Courts located in Pakistan will have jurisdiction.
For users in Bangladesh: These Terms are governed by the laws of the People's Republic of Bangladesh. Courts located in Bangladesh will have jurisdiction.
18) Miscellaneous
These Terms are the entire agreement between you and Salud AI regarding the Service. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or asset sale.
